Website & wholesale sale terms

These terms apply to the Empire Clearance website and direct wholesale inquiries. A signed purchase agreement, accepted quote, or invoice may add or replace transaction-specific terms.

Business buyers

Wholesale purchases are for business resale. A valid, completed resale certificate must be reviewed and accepted before fulfillment. Where checkout permits payment before verification, payment does not approve the certificate or establish a tax exemption. If documentation is missing or cannot be accepted, we will contact the buyer about correction, any applicable tax, or cancellation and refund of an unfulfilled order. No additional payment is charged without the buyer's approval. Buyers remain responsible for permits, duties, and marketplace requirements applicable to their businesses.

Inventory descriptions

Empire Clearance sells liquidation merchandise, including Macy's and Bloomingdale's shelf pulls and overstock. Unless a written quote says otherwise, lots are mixed and may vary by brand, category, size, color, style, season, packaging, and condition. Photographs, sample manifests, brand lists, and category lists are representative and do not guarantee particular items or resale value.

Condition

Most inventory is new with tags. Some goods may be new without tags or may have packaging wear, missing tags, handling marks, stains, rips, or other disclosed defects. Mixed wholesale lots are not individually retail-inspected unless the quote expressly states otherwise.

Pricing and payment

Merchandise prices are confirmed in the checkout order summary or accepted quote. Prices may change for future orders, not for an already accepted and paid merchandise order. Shipping and freight are separate unless expressly included. Checkout shipping estimates use the stated quantity, packing plan, and destination ZIP code, including one $5 handling charge per shipped order. If an exact destination rate is unavailable, the nearest available geographic rate area is used automatically. These are estimates, not live carrier quotes; carrier zones and surcharges can differ between nearby areas. Online ground shipping covers the contiguous United States. We check the full address and delivery requirements before fulfillment. If an address correction or special delivery requirement changes the cost, we will request the buyer's approval; no additional amount is charged automatically. If the order cannot be fulfilled on agreed terms, an unfulfilled order is cancelled and refunded. Deposits do not hold inventory.

Final sale and as-is terms

All wholesale purchases are final sale and sold “as is” and “with all faults.” To the maximum extent permitted by law, Empire Clearance disclaims implied warranties of merchantability and fitness for a particular purpose. No result is guaranteed for resale price, sell-through, platform eligibility, profit, or a buyer's specific sales channel.

These final-sale terms do not eliminate refunds for an order we cancel without fulfillment, duplicate or erroneous charges, or rights that cannot lawfully be waived.

Swimwear lots

When a swimwear assortment is offered, it may include cover-ups. Each swimsuit, cover-up, bikini top, or bikini bottom counts as one piece. Tops and bottoms count separately, and matching sets are not guaranteed.

Pickup, shipping, and risk

Local pickup is by confirmed appointment. A loading dock is available; ground-level loading is not. Buyers may arrange their own freight. Unless a transaction's written terms require delivery to a particular destination, risk of loss for a conforming shipment passes when the goods are duly delivered to the carrier. Buyers should obtain cargo coverage appropriate to the order.

Fulfillment

Typical fulfillment is 3–5 business days after cleared payment and completed documents. Timing is an estimate unless a written quote states a firm date.

Website content and trademarks

Empire Clearance is an independent liquidation wholesaler and is not affiliated with, sponsored by, endorsed by, or an authorized representative of Macy's, Bloomingdale's, or any listed brand. Retailer and brand names identify original retail channels or representative merchandise only. All marks remain the property of their respective owners. Website content may be updated without notice. Do not copy site content, buyer materials, or inventory images for a misleading or unauthorized purpose.

Governing law

New York law governs these terms. Transaction-specific venue and dispute terms appear in the applicable purchase agreement.
